Company Information

Fill in the full legal name of the company in the space provided at the top of the form.

Each row in the table should reflect one issuance or transfer of membership interests or units.

Record Member Details

Begin completing the columns from left to right. In each row, enter the Name of the Member and their Place of Residence.

Certificates Issued Section

In the Certificates Issued section, record the certificate number, the number of interests or units issued, and the date of issuance. If this is an original issuance, note that in the column asking from whom the interests came.

Document Transfer and Payment Info

In the middle of the form, record transaction details:

• The party transferring the membership interests, or “original issue” if applicable.
• The amount paid for the interests or units.
• The effective date of the transfer, if a transfer occurred.

Next, complete the To Whom Membership Interest Were Transferred column by entering the name of the receiving member. If no transfer occurred, this section may remain blank.

In the Certificates Surrendered section, record any certificate numbers and units surrendered as part of the transaction.

Finally, calculate and enter the Number of Membership Interest/Units Held (Balance). This is the member’s total holdings after the issuance or transfer.

Fill out one row per transaction, even if the same member appears multiple times.
