The CSCL CD 715 form is Michigan's official instrument for amending an LLC's Articles of Organization. It is administered by the Michigan Corporations, Securities and Commercial Licensing Bureau (CSCL) within LARA. This document is required whenever an LLC modifies its foundational legal records.

Common reasons to file include changing the company name. You can also update the registered agent or registered office address. Changes to the LLC's purpose, duration, or management structure require this form too. Any modification to the original Articles of Organization must be recorded here.

The members must approve the amendment before filing. A majority in interest of the LLC's members typically satisfies this requirement. The members may also give unanimous written consent. Review your operating agreement for any higher approval threshold specific to your LLC.

The amendment becomes effective on the date LARA accepts the filing. You may choose a later effective date. This date cannot be more than 90 days after the submission date. Expedited processing is available at additional cost.

Submit one original of the completed form to LARA with the required nonrefundable filing fee. Do not submit copies of the original Articles of Organization. Keep a copy for your records.

This document is governed by Act 23 of the Public Acts of 1993, which established the Michigan Limited Liability Company Act. All Michigan LLCs must comply with its provisions when making amendments.
