The DBU-2 is a single-page document. Use the steps below to complete it accurately online or in print.
Step 1 - Enter Corporation Identification
Write the corporation's exact registered name as it appears with the DC DLCP, its principal office address, and the date of its original articles of incorporation. Double-check the spelling of the corporate name against the official registry.
Step 2 - Describe the Amendment
State which article or provision is being amended and write out the complete amended language. Vague or partial descriptions may result in rejection by the DLCP. If multiple articles are changing, address each one separately.
Step 3 - Confirm Authorization
Indicate who authorized the amendment and provide the date authorization was granted. Choose the correct authorization type based on your corporate bylaws: incorporators, board of directors, or shareholders.
Step 4 - Sign and Date
An authorized officer or incorporator must sign the completed form. Include the signatory's printed name, their title, and the signing date. Unsigned forms will not be accepted by the DLCP.
Step 5 - Submit and Pay the Fee
File the form and pay the applicable fee through the DC CorpOnline portal. Keep a copy of the submission confirmation and the signed form in your corporate records.
